1. Acceptance of These Terms

These Terms of Service (the "Terms" or "Agreement") form a binding legal contract between you and MS J Events and Design LLC, a Florida limited liability company doing business as Sir Isaac Newton Education Center ("SINEC," "we," "us," or "our"). The Terms govern your access to and use of:

(collectively, the "Service").

By creating an account, enrolling a student, purchasing any service, signing an enrollment or tutoring agreement, or otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not access or use the Service.

If you are accepting these Terms on behalf of a minor child as that child's parent or legal guardian, you represent that you have full legal authority to bind both yourself and the child to these Terms.

If you are accepting these Terms on behalf of an organization (for example, a school, homeschool co-op, or scholarship-funding entity), you represent that you have authority to bind that organization, and "you" refers to both you individually and the organization.

2. Eligibility

The Service is offered to:

  1. Adults (18 years of age or older) who can form a legally binding contract under applicable law, acting on their own behalf or as a parent or legal guardian of an enrolled student; and
  2. Minors under the age of 18, only when enrolled by a parent or legal guardian who has accepted these Terms on their behalf, except that adult learners 18 or older may enroll themselves in MATH 2060, PERT preparation, CLT, SAT, ACT, or other adult-appropriate offerings.

If you are under 13 years of age, you may not create an account, provide any personal information, or use the Service except under an account established and maintained by your parent or legal guardian in accordance with our COPPA practices described in the Privacy Policy.

By using the Service, you represent and warrant that you meet the eligibility requirements above and that all information you provide is accurate, current, and complete.

We may refuse to provide the Service to any person at our discretion, including any person previously suspended or removed from the Service.

3. Description of the Service

SINEC provides educational products and services in two general categories:

(a) The Platform. A web-based learning platform that delivers structured math curriculum, including but not limited to MATH 2060 (a college math readiness and PERT preparation program), SINEC Math for grades K–8, and SINEC High School Math. The Platform delivers lessons, drill sessions, quizzes, and progress reports to enrolled students and their parents.

(b) Tutoring Services. In-person and virtual instruction delivered by SINEC personnel, including subject-area tutoring for grades 4 through 12 (through AP level), standardized test preparation (SAT, ACT, CLT, AP, FAST, EOC, PERT), and college-readiness coaching.

The specific scope, features, and content of the Service may change over time. We may add, modify, suspend, or discontinue any feature, product, course, or service at any time as described in Section 22.

The Service is intended to supplement, not replace, your student's primary education. SINEC is a private education center; it is not a public school, charter school, or accredited private school under Florida law, and the Service does not confer any diploma, transcript credit, or certification recognized by any school or governmental body unless explicitly stated in a separate written agreement.

4. Account Registration and Security

To access most parts of the Service, you must create an account. When you register, you agree to:

You are responsible for all activity that occurs under your account, whether or not you authorized it, except to the extent caused by SINEC's failure to take reasonable security precautions.

We may suspend or terminate your account at any time if we have reasonable grounds to believe that the information you provided is untrue; you have violated these Terms; your account has been compromised; or continued access poses a risk to other users, to SINEC, or to the integrity of the Service.

You may not share your account credentials with any person other than co-parents or co-guardians of the same student, and you may not transfer your account to any other person.

One student per student account. Each enrolled student must have their own student profile. Sharing a single student profile among multiple students is a violation of these Terms and grounds for termination.

5. Subscription, Billing, and Payment

5.1 Subscription Plans

We offer the Service through one or more subscription plans posted on our website. The price, billing frequency, included features, and any usage limits of each plan are described on the applicable pricing page at the time of purchase, which is incorporated into these Terms by reference.

5.2 Authorization to Charge

By providing a payment method, you authorize SINEC and our third-party payment processor to charge that payment method for all applicable fees, including subscription fees, one-time charges, taxes, and any other amounts you owe under these Terms. You represent that you are authorized to use the payment method you provide.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually, depending on the plan you select) at the then-current rate, unless you cancel before the renewal date. You may cancel at any time through your account settings or by emailing support@sirisaacnewtoneducationcenter.com. Your subscription will remain active until the end of the current paid period; you will not be charged again after cancellation.

We will email you a renewal reminder before each annual renewal. Monthly renewals do not generate individual reminder emails; you acknowledge that monthly subscriptions renew automatically without additional notice.

5.4 Price Changes

We may change subscription prices from time to time. Price changes will not apply to your current paid billing period. We will provide at least 30 days' email notice before any price change takes effect for your account.

5.5 Payment Failures

If your payment method is declined or fails for any reason, we may suspend your access to the Service until payment is successfully processed. You remain responsible for all fees incurred up to and including the date access is suspended or the account is terminated for non-payment.

5.6 Taxes

All fees are stated exclusive of applicable sales, use, or value-added taxes. You are responsible for any taxes imposed on your purchase, other than taxes on SINEC's net income.

5.7 No Hidden Fees

We do not charge activation fees, cancellation fees, or other fees not disclosed on the pricing page at the time of purchase.

6. Free Trial

We offer a fourteen (14) day free trial for new subscribers, intended to give you a meaningful opportunity to evaluate the Service before any charge is made. The trial is the basis on which all subscription fees are non-refundable; see Section 7.

Unless otherwise stated at the time of the offer:

We reserve the right to revoke a free trial at any time if we believe it has been obtained fraudulently or in violation of these Terms.

7. Cancellation; No Refunds; Termination by You

7.1 How to Cancel

You may cancel your subscription at any time through the cancellation option in your account settings, or by emailing support@sirisaacnewtoneducationcenter.com with the subject line "Cancellation Request." Cancellation is effective at the end of your current paid billing period.

7.2 All Sales Final; No Refunds

All subscription fees are non-refundable. All sales are final. We offer a fourteen-day free trial precisely so that you can evaluate the Service before being charged. By converting from the free trial to a paid subscription, you acknowledge that no refund will be issued for unused time, mid-cycle cancellations, changes in your student's circumstances, or dissatisfaction with the Service.

For tutoring sessions paid in advance, the cancellation and rescheduling policy in your individual tutoring agreement supersedes this Section with respect to those sessions. This Section does not limit any non-waivable right you may have under applicable consumer-protection law.

7.3 Effect of Cancellation

When your subscription ends, you will lose access to the Platform and to your student's learning history, except that you may export your student's progress data in a downloadable electronic format by submitting a request to support@sirisaacnewtoneducationcenter.com at least 14 days before your subscription ends. Your data will be retained and deleted in accordance with our Privacy Policy.

8. Step Up for Students and Scholarship Funding

SINEC is an approved provider for one or more Florida Step Up for Students ("SUFS") scholarship programs and may be eligible to receive payment through MyScholarShop or directly from SUFS for qualifying services.

If your student's enrollment is funded in whole or in part by a SUFS scholarship:

Use of SUFS funds is governed by the SUFS purchasing guide and program rules in addition to these Terms. In the event of a conflict between SUFS rules and these Terms with respect to SUFS-funded services, the SUFS rules control as to those services.

9. Acceptable Use

You agree to use the Service only for its intended educational purposes and in compliance with these Terms, our Privacy Policy, and all applicable laws. You will provide accurate information at all times; use the Service consistent with your student's school's academic-integrity expectations; supervise your minor child's use appropriately; promptly report any suspected security vulnerability or misuse to support@sirisaacnewtoneducationcenter.com; and comply with any additional usage rules posted within specific features of the Service.

10. Prohibited Conduct

You may not, and may not authorize or assist any third party to:

  1. Access or use the Service in violation of any law, regulation, or third-party right;
  2. Access the Service through any means other than the interface provided by SINEC (no scraping, bots, crawlers, or headless browsers);
  3. Reverse engineer, decompile, or attempt to derive the source code of any part of the Platform;
  4. Reproduce, sell, resell, lease, sublicense, or otherwise commercially exploit any portion of the Service, including curriculum materials, worksheets, or assessments;
  5. Use the Service or any SINEC content to train, fine-tune, or improve any machine-learning model or AI system, except as expressly authorized in writing by SINEC;
  6. Modify, adapt, or create derivative works of any SINEC content, except for personal, non-commercial use by an enrolled student;
  7. Remove, obscure, or alter any copyright, trademark, or other proprietary-rights notice;
  8. Use the Service to transmit any virus, malware, or other malicious code;
  9. Use the Service to attempt to gain unauthorized access to any account, computer system, or network;
  10. Use the Service to harass, abuse, threaten, defame, or otherwise infringe the rights of any other user, staff member, or third party;
  11. Impersonate any person or misrepresent your identity, age, or affiliation;
  12. Interfere with or disrupt the integrity or performance of the Service;
  13. Share login credentials outside your household or use a single student profile for more than one student;
  14. Use the Service in connection with cheating, contract cheating, or paid academic dishonesty; or
  15. Attempt any of the above or assist any person who does.

Violation of this Section is grounds for immediate suspension or termination without refund, and may result in civil or criminal liability.

11. License to Use the Service

Subject to your compliance with these Terms and timely payment of all applicable fees, SINEC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for the personal, non-commercial educational use of you and your enrolled student during the term of your subscription.

This license does not include any right to use the Service for commercial purposes; use SINEC content to develop a competing product or service; make the Service available to any person who is not the enrolled student or their parent or legal guardian; use the Service or SINEC content to train any AI or machine-learning system; or any use not expressly granted in these Terms. All rights not expressly granted are reserved by SINEC and its licensors.

12. Intellectual Property

12.1 SINEC Content

All curriculum, worksheets, lesson content, assessments, drill questions, software, designs, logos, branding, and other materials made available through the Service ("SINEC Content") are owned by SINEC or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual-property laws.

The names "Sir Isaac Newton Education Center," "SINEC," "MATH 2060," and the SINEC navy-and-gold logo are trademarks of MS J Events and Design LLC. You may not use these marks without our prior written consent, except for nominative fair use to identify the Service.

12.2 Permitted Use of SINEC Content

You may view and complete assessments and worksheets through the Platform as intended; print individual worksheets for the personal use of your enrolled student only; and save your own student's progress reports for your personal records.

12.3 Third-Party Content

The Service may include or link to content owned by third parties. Third-party content is the property of its respective owner and may be subject to additional terms.

12.4 Feedback

If you submit ideas, suggestions, or other feedback to SINEC, you grant SINEC a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate that feedback into the Service without compensation or attribution to you.

13. User Content

You retain ownership of content you submit to the Service ("User Content"). You grant SINEC a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, and use your User Content solely for the purposes of operating and delivering the Service and providing reports to you. This license terminates when your account is deleted, except that we may retain de-identified or aggregated derivatives as described in our Privacy Policy.

14. Children's Privacy and COPPA

Children under 13 may not create their own accounts. A parent or legal guardian must enroll the child and provide verifiable parental consent. We do not use student data for behavioral or targeted advertising. We do not sell student personal information. Parents may review, correct, or delete their child's information at any time. Please refer to our Privacy Policy for the full description of your rights and our obligations.

15. Parental and Guardian Responsibilities

If you are enrolling a minor student, you agree to supervise your child's use of the Service appropriately; review your child's progress reports and communications; notify SINEC promptly of any account compromise or improper contact; discuss appropriate online conduct with your child; and keep your contact information current. SINEC is not a substitute for parental supervision.

16. Tutoring Services

16.1 Scheduling and Cancellation

Tutoring sessions must be scheduled in advance. Unless your individual tutoring agreement says otherwise, cancellations made with fewer than 24 hours' notice will be charged in full.

16.2 Location and Conduct

For in-person sessions, students must be accompanied by a parent or guardian at drop-off and pick-up unless prior written arrangements have been made. For virtual sessions, a parent or guardian should be present in the home and reasonably available, particularly for students under 13.

16.3 Staff and Substitutions

SINEC takes reasonable steps to verify the qualifications of tutoring staff. Specific staffing arrangements are not guaranteed; we may substitute equally qualified personnel as needed.

16.4 No Guarantee of Outcomes

SINEC does not guarantee any specific academic outcome, including test scores, grades, course placement, college admission, or scholarship eligibility.

16.5 Photo and Video Release

We do not record tutoring sessions by default. If a session will be recorded for legitimate educational or quality-assurance purposes, we will obtain your consent before recording.

17. Third-Party Services and Links

The Service may integrate with or link to third-party services. Your use of any third-party service is governed by that third party's terms and privacy policy, not these Terms. SINEC is not responsible for the content, availability, security, or practices of any third-party service.

18. Reporting Alleged Copyright Infringement

If you believe that material accessible through the Service infringes your copyright, send a written notice to info@sirisaacnewtoneducationcenter.com that includes: a description of the copyrighted work; identification of the infringing material and its location; your contact information; a good-faith belief statement; a statement under penalty of perjury that the information is accurate and you are authorized to act; and your physical or electronic signature.

19. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SINEC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SINEC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY DATA OR SCORES PRODUCED BY THE SERVICE WILL BE ACCURATE OR RELIABLE; OR THAT THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Educational Advice Disclaimer. Any guidance, recommendations, score predictions, or educational suggestions provided through the Service are for general informational purposes only and are not a substitute for personalized advice from a licensed educator, school counselor, or other qualified professional.

20. Limitation of Liability

(a) IN NO EVENT WILL SINEC, ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR EDUCATIONAL OPPORTUNITY, EVEN IF SINEC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) SINEC'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID TO SINEC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THIS SECTION LIMITS LIABILITY FOR GROSS NEGLIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT.

21. Indemnification

You agree to defend, indemnify, and hold harmless SINEC and its owners, officers, members, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: your violation of these Terms; your violation of any law or third-party right; your User Content; any unauthorized use of your account; or any dispute between you and another user or third party arising out of the Service.

22. Modification of the Service

We may, at any time and in our sole discretion, add, change, suspend, or discontinue any feature, course, content, or product within the Service. We will use reasonable efforts to provide notice of material changes that meaningfully reduce the functionality of the Service for paying subscribers. Your sole remedy for any such material reduction during a paid period is to cancel future renewals.

23. Modification of These Terms

For material changes — changes that meaningfully expand your obligations, reduce your rights, modify dispute resolution, or change pricing or refund rules — we will notify you by email at least 14 days before the changes take effect. For non-material changes — including clarifications and formatting changes — we may make the change without prior notice.

Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms.

24. Termination by SINEC

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if you have violated these Terms; engaged in conduct harmful to other users or SINEC; or we are required to do so by law. Upon termination, your right to access the Service ends immediately. Sections 11, 12, 13, 19, 20, 21, 26, and 34 survive termination.

If we terminate your account through no fault of your own, we will provide a prorated refund of any prepaid, unused subscription fees, notwithstanding Section 7.2.

25. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The Federal Arbitration Act governs the interpretation and enforcement of Section 26.

26. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

26.1 Informal Resolution

Before filing any formal claim, you and SINEC agree to attempt in good faith to resolve any dispute informally for at least sixty (60) days. Send a written notice to:

26.2 Binding Arbitration

If the dispute is not resolved within the 60-day informal-resolution period, you and SINEC agree that all disputes arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration, except as provided in Section 26.4. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, held in Pasco County, Florida, or by telephone or videoconference if you are a consumer and the amount in controversy is $25,000 or less.

26.3 Class Action Waiver

YOU AND SINEC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

26.4 Exceptions

Either party may bring a claim in small-claims court if the claim qualifies, or seek injunctive or equitable relief in court to prevent infringement of intellectual property or violation of confidentiality obligations.

26.5 Opt-Out

You may opt out of the arbitration provision and the class action waiver by sending written notice to info@sirisaacnewtoneducationcenter.com within 30 days of the date you first accept these Terms. Your notice must include your name, account email, and a clear statement that you are opting out of arbitration.

26.6 Venue for Non-Arbitrable Disputes

For any dispute not subject to arbitration, you and SINEC agree to the exclusive jurisdiction and venue of the state and federal courts located in Pasco County, Florida.

27. Force Majeure

Neither party will be liable for any failure or delay in performance (other than payment obligations) to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, government action, internet or utility outages, or third-party service failures.

28. Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

29. No Agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and SINEC.

30. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will continue in full force.

31. No Waiver

No failure or delay by SINEC in exercising any right under these Terms is a waiver of that right. Any waiver must be in writing and signed by an authorized representative of SINEC.

32. Entire Agreement

These Terms, together with the Privacy Policy, any Parental Consent Agreement, any tutoring agreement, the SUFS program terms (where applicable), and any plan-specific Account Terms posted at the time of purchase, constitute the entire agreement between you and SINEC regarding the Service. In the event of a conflict, the order of precedence is: (1) individually signed written agreements; (2) plan-specific Account Terms; (3) these Terms; (4) the Privacy Policy; (5) any other posted policy.

33. Export Controls and U.S. Government Users

You represent that you are not located in a country subject to a U.S. government embargo and are not listed on any U.S. government list of prohibited or restricted parties.

34. Notices

To You: We may send notices by email to the address on file, by posting in the parent portal, or by U.S. mail. You are responsible for keeping your contact information current.

By using the Service, you acknowledge that you have read these Terms, understand them, and agree to be bound by them.
